Please read these Terms and Conditions (“Agreement”, “Terms and Conditions”) carefully before using https://gds.llc (“the Site”) operated by GDS LLC (“GDS”, “GDS – Doors & Hardware”, “us”, “we”, or “our”). This Agreement sets forth the legally binding terms and conditions for your use of the Site at https://gds.llc.

By accessing or using the Site in any manner, including, but not limited to, visiting or browsing the Site or contributing content or other materials to the Site, you agree to be bound by these Terms and Conditions. Capitalized terms are defined in this Agreement.

Acceptance of Contract Terms

The following forms a legal agreement between you and GDS LLC. By using this site, you are acknowledging that you have read, understood, and agree to be bound by these terms and all applicable laws and regulations. If you do not agree to these terms please do not use this site. Any claim relating to the use of this site, its materials, and any sales thereunder is governed by the laws of the State of Florida, without regard to conflict of laws, and Florida will be the sole jurisdiction and venue for any litigation arising from the use of or orders made on the site.

Use Restrictions

The copyright in all material provided on this site is held by GDS LLC. Except as stated herein, none of the material may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means without the prior written permission of GDS. Permission is granted to display, copy, distribute and download the materials on this site for personal, non-commercial use only, provided you do not modify the materials and that you retain all copyright and other proprietary notices. This permission terminates automatically if you breach any of these terms or conditions or upon request by GDS. Upon termination, you must immediately destroy any downloaded and printed materials. You also cannot “mirror” any material contained on this site. Unauthorized use may violate copyright laws, trademark laws, and other statutes.

Trademarks

The trademarks, service marks, and logos (the “Trademarks”) used and displayed on this site are registered and unregistered Trademarks of GDS LLC and others. Nothing on this site should be construed as granting any license or right to use any Trademark without written permission. GDS enforces its intellectual property rights to the fullest extent of the law. GDS prohibits the use of its logo as a “hot” link unless approved in writing.

Intellectual Property

The Site and its original content, features, and functionality are owned by GDS LLC and are protected by international copyright, trademark, patent, trade secret, and other proprietary rights laws. This website claims no credit for any images posted unless otherwise noted. If an image appears on this website that belongs to you and you wish it removed, please email GDS LLC with a link to said image and it will be promptly removed.

Termination

We may terminate your access to the Site without cause or notice. Provisions that should survive termination include ownership, disclaimers, indemnity, and limitations of liability.

Disclaimer Warranty

THIS WEBSITE AND ITS INFORMATION ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. GDS LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GDS LLC MAKES NO REPRESENTATIONS ABOUT THE ACCURACY OR RELIABILITY OF THE MATERIALS OR PRODUCTS ON THIS SITE.

Limitation of Liability

IN NO EVENT SHALL GDS LLC BE LIABLE FOR ANY DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THIS SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW EXCLUSIONS OR LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

Inaccuracies / Typographical Errors

GDS is not responsible for typographical errors or misprints. We reserve the right to correct any errors. GDS LLC will not be liable for misquoted content. Verify all information and pricing before final transactions.

External Links / Links to Other Sites

Our Site may link to third-party sites not owned by GDS LLC. We have no control over those sites and assume no responsibility for their content or practices. We recommend reviewing the terms and policies of any third-party site you visit.

Governing Law

This Agreement shall be governed in accordance with the laws of the State of Florida, United States.

Changes to This Agreement

We may update these Terms at any time. Continued use of the Site after changes means you accept the new terms. If you disagree, discontinue use of the Site.

Payments

Full payment is required for all orders shipped outside Florida. At GDS LLC's discretion, a 50% deposit may be accepted for lengthy production orders, with the balance due before shipment.

Arizona Customers

Orders picked up at our Coral Springs warehouse must be paid in full upon placement. For orders with lead times over two working days, a 50% deposit is required. First-time customers must submit at least a 50% deposit, with the remaining balance due at pickup or shipment.

If the balance remains unpaid for more than 10 days, and the deposit was via credit/debit card, GDS LLC will charge the remaining balance to the card on file. For deposits made via cash or check, a Past Due Credit Authorization Form may be required.

Charge Accounts

Credit may be extended at GDS LLC’s sole discretion upon approval of a Net 30 Charge Account Application and Past Due Credit Authorization Form. Accounts 45 days overdue may be charged to the card on file.

Payment Options

GDS accepts American Express, Discover, MasterCard, PayPal, and Visa for out-of-state orders. Payments can be made via our secure online payment gateway or by phone.

Florida customers may pay by all major credit cards, cash, or company check. Check payments may delay order release until cleared.

Sales Taxes

Sales taxes are added based on the shipping address. Orders picked up in Coral Springs, FL are taxable. Tax-exempt customers must provide a valid Exemption Resale Certificate to tax@gds.llc.

Lead Times

Standard lead times range from 5–30 working days. Shipping dates are estimates. GDS does not accept late delivery penalties unless agreed to in writing at order placement.

Shipping Policies

Out-of-state orders are shipped LTL freight (“tailgate delivery”) via ground carrier or from GDS in Coral Springs, FL. Liftgate service is extra if needed. Crate fees apply for non-local orders. Smaller orders ship via FedEx, UPS, or USPS. Florida orders delivered by GDS are tailgate delivery—customer is responsible for unloading.

Changes and Order Cancellations

Changes or cancellations must be made within 24 hours. After that, GDS reserves the right to deny the request or apply fees. No cancellations are accepted for custom, modified, or fabricated items.

Returns

Returns require authorization and may incur restocking fees. No returns on custom, modified, pre-finished, or installed items. Returns accepted within 60 days only.

Freight Damages

Title transfers at shipment. Customers must inspect deliveries and file claims with carriers. GDS can assist with claims. Report visible damage to the driver and email support@gds.llc within 48 hours. Refuse delivery if goods appear unusable.

Note: Surface scratches on metal doors/frames do not constitute damage; doors ship unfinished.

Defective Products & Warranties

GDS honors original manufacturer warranties. To file a claim, contact us.

Missing or Wrong Items

Report missing or incorrect items within 24 hours of receipt.
